These Terms of Service ("Terms") govern your access to and use of Zylch AI ("Zylch," "Service"), operated by Hahn Banach ("Company," "we," "us," or "our"). By using Zylch, you agree to these Terms.

This service is available to users in the United States only.

1. Alpha Program

Invitation-Only Access

Zylch is currently in Alpha and available by invitation only. We individually authorize each user. Access may be granted, limited, or revoked at our sole discretion.

What Alpha Means

By participating in the Alpha program, you acknowledge and accept that:

• The Service is under active development and not feature-complete
• You may experience bugs, errors, downtime, and unexpected behavior
• Features may change, break, or be removed without notice
• Your data processing may be interrupted or delayed
• The Service may become temporarily or permanently unavailable

Your Role as an Alpha User

As an Alpha user, you're a pioneer. We value your participation and ask that you:

• Report bugs, issues, and unexpected behavior
• Provide feedback on features and usability
• Exercise patience when things don't work perfectly
• Understand that we're doing our best to build something great

2. The Service

What Zylch Does

Zylch is an AI-powered assistant that helps you manage business communications. The Service may:

• Access and process your email messages and calendar
• Send emails on your behalf
• Create, modify, and cancel calendar appointments
• Make and receive phone calls through integrated systems
• Build and maintain intelligence about your contacts and relationships
• Execute tasks based on your instructions or automated rules

AI-Powered Actions

Zylch uses artificial intelligence to understand your requests and take actions. You acknowledge that:

• AI may misinterpret instructions or context
• Automated actions may not always reflect your exact intent
• You are responsible for reviewing AI-generated content before it's sent
• You should verify important communications and appointments

3. Your Responsibilities

Account Security

You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

Acceptable Use

You agree not to use Zylch to:

• Send spam, unsolicited messages, or bulk communications
• Harass, threaten, or harm others
• Violate any laws or regulations
• Infringe on intellectual property rights
• Attempt to gain unauthorized access to systems or data
• Interfere with or disrupt the Service

Third-Party Services

When you connect third-party services (Gmail, Google Calendar, phone systems), you must:

• Have authorization to grant Zylch access to those accounts
• Comply with those services' terms of service
• Understand that Zylch's functionality depends on those services' availability

4. Intellectual Property

Our Property

Zylch, including its software, design, features, and documentation, is owned by Hahn Banach. You receive a limited, non-exclusive, non-transferable license to use the Service during the Alpha program.

Your Data

You retain ownership of your data. By using Zylch, you grant us a license to process your data as necessary to provide the Service, as described in our Privacy Policy.

Feedback

Any feedback, suggestions, or ideas you provide about Zylch may be used by us without obligation to you.

5. Disclaimers

As-Is Service

ZYLCH IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your specific requirements.

AI Limitations

We do not guarantee the accuracy, reliability, or appropriateness of AI-generated content or actions. The AI may make mistakes. You are responsible for reviewing and verifying all communications sent on your behalf.

No Professional Advice

Zylch does not provide legal, financial, medical, or other professional advice. Any information or suggestions provided by the Service should not be relied upon as professional guidance.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAHN BANACH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from emails sent, calls made, or appointments created by the Service
• Damages resulting from service interruptions, errors, or data loss
• Any damages exceeding the amount you paid us in the 12 months preceding the claim (or $100 if you paid nothing)

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

7. Indemnification

You agree to indemnify and hold harmless Hahn Banach from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Communications sent through Zylch on your behalf

8. Termination

By You

You may stop using Zylch at any time. Contact us to request account deletion and removal of your data.

By Us

We may suspend or terminate your access at any time, for any reason, without notice. This includes, but is not limited to, violations of these Terms or decisions about the Alpha program.

Effect of Termination

Upon termination, your right to use Zylch ends immediately. We may delete your data in accordance with our Privacy Policy.

9. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website. Your continued use of Zylch after changes become effective constitutes acceptance of the revised Terms.

10. General

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of Zylch shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in court for intellectual property matters.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hahn Banach regarding Zylch.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
